Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("Customer", "you") and CJs Web Service, LLC ("Company", "we", "us") governing your purchase and use of the TradeSchool Manager software, including the free core plugin and any paid add-ons (collectively, the "Software"), and this website (the "Site"). By installing, accessing, or paying for the Software you agree to these Terms.

1. License

Subject to your continued compliance with these Terms and payment of any applicable subscription fees, we grant you a non-exclusive, non-transferable, revocable license to install and use the Software on the number of WordPress sites covered by your active subscription. The free core plugin is licensed under the GNU General Public License v2 or later; paid add-ons are licensed under the same terms but updates and support are gated by an active subscription.

2. Subscriptions, renewals, and billing

Paid add-ons are sold on an annual subscription basis through our merchant of record, Freemius, Inc. Subscriptions renew automatically on the anniversary date unless cancelled. You may cancel at any time from your Freemius customer dashboard or by contacting [email protected]. Pricing is subject to change with at least 30 days' notice; existing subscriptions are honored at their current price through the end of the then-current term.

3. Refunds

We offer a 14-day refund on any add-on subscription, processed by Freemius. After 14 days, fees are non-refundable. Renewals are non-refundable except where required by law. See our Refund Policy for full details.

4. Acceptable use

You agree to use the Software only for lawful purposes and in accordance with our Acceptable Use Policy. You may not (a) resell or sublicense the Software except as expressly permitted, (b) remove or obscure license, copyright, or attribution notices, (c) attempt to bypass the licensing or update mechanism, or (d) use the Software to violate any applicable law, including education, privacy, and consumer-protection laws.

5. Customer responsibilities — education and compliance

The Software is a tool. You acknowledge that:

  • You, not the Company, are the educational institution and the data controller for any student, parent, employee, or applicant records stored in your installation.
  • You are solely responsible for verifying that your collection, storage, transmission, and disclosure of education records complies with the Family Educational Rights and Privacy Act (FERPA), your state's private career-school or post-secondary regulations, the Children's Online Privacy Protection Act (COPPA) when applicable, and any other law that governs your operations.
  • You are solely responsible for obtaining any parental consents required for minor students.
  • You are solely responsible for the accuracy of grades, attendance, transcripts, certificates, contracts, invoices, and other records generated by the Software.
  • The Software is not legal, regulatory, accreditation, tax, or financial advice. References to "FERPA-friendly", "court-ready audit trail", "government audit log", or similar wording describe design intent and feature capability, not a certification, warranty, or guarantee of compliance.

6. Hosting, backups, and self-hosted nature

The Software is a self-hosted WordPress plugin. You are responsible for your own WordPress hosting, PHP version, SSL certificate, third-party plugin and theme compatibility, security patching, and backups. The Company does not host your installation and has no access to your data unless you affirmatively grant it (for example, for support).

7. Payments, tuition contracts, and financing

The Invoicing & Contracts add-on facilitates invoicing, tuition contracts, payment plans, flat financing fees, and Stripe-based payment collection between the school and its students. You acknowledge that:

  • The school — not the Company — is the party to every tuition contract, invoice, and payment plan generated by the Software.
  • The Company is not a lender, money transmitter, payment processor, escrow agent, or party to any tuition or financing agreement.
  • "Flat financing fees" are a school-set fee added to the tuition balance. You are solely responsible for compliance with Regulation Z (Truth in Lending), state usury and credit laws, Holder-in-Due-Course rules, and any other consumer-finance regulation that applies to your tuition arrangements.
  • Stripe processes card payments under its own terms. The Company has no control over Stripe's decisions, holds, or chargebacks.

8. Electronic signatures

By using the e-signature features (for tuition contracts, applications, or other documents) you and your students consent to transact electronically under the federal E-SIGN Act and state UETA equivalents. See our E-Sign Consent for details.

9. Third-party services

The Software integrates with third-party services including Stripe (payments), Freemius (merchant of record and licensing), Brevo (transactional email), and Google Fonts (typography on this website). Your use of those services is governed by their own terms.

10. Intellectual property

Except for the free core (GPLv2-or-later), the Software, the Site, the TradeSchool Manager name and logo, and all related documentation are the property of CJs Web Service, LLC and its licensors. Your subscription does not transfer any trademark rights.

11. Termination

You may cancel at any time. We may suspend or terminate your subscription and license for material breach of these Terms, non-payment, fraudulent activity, or use that creates legal exposure for us. Sections 5, 7, 12, 13, 14, and 16 survive termination.

12. Disclaimer of warranties

THE SOFTWARE AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THAT THE SOFTWARE WILL CAUSE YOUR ORGANIZATION TO COMPLY WITH ANY LAW OR REGULATION.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, REGULATORY PENALTIES, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US (THROUGH FREEMIUS OR DIRECTLY) IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Software, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any claim by a student, parent, employee, regulator, or other third party relating to your use of the Software or the records you process with it.

15. Changes to the Software and to these Terms

We may modify the Software at any time, including by adding, changing, or removing features. We may update these Terms; material changes will be announced on this page with a new "Last updated" date and, for paying subscribers, by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

16. Governing law and venue

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of these Terms is the state or federal courts located in Oregon, and you consent to personal jurisdiction there.

17. Miscellaneous

If any provision of these Terms is held unenforceable, the remainder will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the policies they reference, constitute the entire agreement between you and us regarding the Software.
